AT&T FIVE STAR PROPERTIES TERMS & CONDITIONS

  1. INTRODUCTION:

    The AT&T Five-Star Property program is designed to showcase technically advanced multi-dwelling unit properties (“MDU”) utilizing AT&T Fiber (“Five-Star Program”). MDUs eligible to be an AT&T Five-Star Property will receive a AT&T Five-Star Property plaque and will be featured in industry trade publications so potential and existing residents will understand the technological benefits offered by the MDU.

  2. ELIGIBILITY:

    The Five-Star Program is open to property owners of an MDU (“Participant”, “You”, “Your”, or “I”) that is in contract with AT&T for the provision of AT&T Fiber at the MDU. The Participant’s MDU must also meet the following criteria to be eligible for the Five-Star Program:

    1. Offer MDU residents AT&T Fiber and one (1) additional building amenity that operates using AT&T Fiber (e.g. remote-controlled exit/entry system, smart thermostat system, security system, etc.);
    2. Maintain AT&T Fiber services for the duration of the Five-Star Program; and
    3. Consent to AT&T’s use of Participant’s and the MDU’s names, marks, logos, likeness, and/or photographs for advertising and promotion purposes without additional consent or compensation.

    Participants and MDU properties meeting the above-mentioned eligibility criteria, as determined by AT&T in its sole discretion, are eligible to become an AT&T Five Star Property. Participants can submit their property information at www.att.com/5starproperty for consideration for the Five Star Program. Submission of property information does not guarantee Five Star Program eligibility. Participation in the Five Star Program is purely voluntary and at the Participant’s discretion. By participating in the Five Star Program Participants: (a) agree to be bound by these Terms and Conditions and by the interpretations of these Terms and Conditions by AT&T and by the decisions of AT&T; (b) acknowledge compliance with these Terms and Conditions; (c) agree to comply with any and all applicable federal, state and local laws, rules and regulations; and (d) agree to release and hold harmless AT&T and its affiliates, subsidiaries, supplier(s), distributors and advertising and promotion agencies (“AT&T Entities”) from and against any and all claims, injury or damages arising out of or relating to participation in Five Star Program and for any claim, including claims based on defamation, publicity rights, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property related cause of action.

  3. SELECTION AS AN AT&T FIVE-STAR PROPERTY:

    Participants selected for the Five-Star Program, and agreeing to become an AT&T Five-Star Property, may be required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release specified by AT&T. Selected Five-Star Program Participants will receive a plaque identifying the property as an AT&T Five-Star Property with an actual retail value of less than $500. Selected Participants will receive, at no cost to Participant, a full-page advertisement in a relevant industry publication (e.g. NAA Units magazine) identifying the MDU property and property owner as an AT&T Five-Star Property for a calendar month. AT&T will also highlight the Participant’s selected AT&T Five-Star Property on AT&T’s website (www.att.com/5starproperty) – with a link to the MDU property’s website and property information – for the duration of the Five-Star Program or until either Participant or AT&T exercises their respective rights under Section 6. All federal, state and local taxes, and any other costs and expenses associated with acceptance and/or use of the Five-Star Program plaque and marketing publications provided by AT&T to Participant for the Participant’s benefit, not specifically provided for in these Terms and Conditions are solely the Participant’s responsibility.

  4. MEDIA CONSENT AND RELEASE:

    By participating in the Five Star Program, each Participant and their respective AT&T Five Star Property(ies) grants to AT&T Services, Inc., its parent, subsidiaries, affiliates, related companies and any of its legal representatives, agents, licensees, or assigns (“AT&T”) a non-exclusive, perpetual and irrevocable worldwide license to use the names, likeness, logo(s), address(es), picture(s), image(s), depiction or other identifying features of Participant and/or its respective AT&T Five Star Property(ies) (“Images”) in, or in connection with, advertising, marketing, or publicity for the Five Star Program, over any media now known or hereafter devised (“Media”) without additional consent or compensation, except where prohibited by law. Subject to the same terms and conditions, Participant and its respective AT&T Five Star Property(ies) grant AT&T the nonexclusive copyright and/or trademark licenses to use such Images identifying the MDU property in furtherance of such advertising, marketing, or publicity. The foregoing Media includes online interactive maps, location finders and Internet search key words. Neither Participant nor its respective AT&T Five Star Property(ies) shall obtain rights to any AT&T compilation of the Images.

  5. USE OF DATA:

    All information submitted online by Participants is subject to and will be treated in a manner consistent with AT&T’s Privacy Policy accessible at http://www.att.com/gen/privacy-policy?pid=2506. By participating in the Five Star Program, Participants hereby agree to AT&T’s collection and usage of their personal information and acknowledge that they have read and accepted AT&T’s Privacy Policy.

  6. TERMINATION AND OPT-OUT:

    Participants can opt-out of the Five Star Program at any time, for any reason whatsoever, with or without cause. AT&T reserves the right to terminate, cancel or suspend the Five Star Program at any time, for any reason whatsoever, with or without cause. AT&T further reserves the right to terminate, cancel or suspend a Participant’s participation in the Five Star Program if AT&T suspects or finds any Participant has: (i) failed, or is failing, to meet the Eligibility requirements listed above; (ii) used a software generated, robotic, programmed, script, macro or other automated online entry; (iii) tampered with the submission process or the operation of Five Star Program; (iv) acted in a disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person; (v) displayed behavior or committed acts that will bring such Participant or AT&T Entities into disgrace, ridicule or contempt, or potentially disparage or damage AT&T’s business reputation; (vi) provided inaccurate information on any legal documents submitted in connection with this Five Star Program; or (vii) to be acting in violation of these Terms and Conditions.

  7. LIMITS OF LIABILITY:

    Each Participant agrees to indemnify and hold harmless AT&T Entities from any and all liability arising out of or relating in any way to Participant’s participation in the Five Star Program and to release all rights to bring any claim, action or proceeding against AT&T Entities. AT&T Entities assume no responsibility for and will disqualify submissions that are: stolen, late, lost, illegible, incomplete, invalid, unintelligible, damaged, destroyed, delayed, misdirected, not received, that have incorrect or inaccurate submission information, whether caused by any of the equipment or programming associated with or utilized in Five Star Program, or by any human, mechanical or electronic error which may occur in the processing of the submissions in Five Star Program, or other errors appearing within the Official Rules or in any Five Star Program related advertisements. AT&T Entities assume no responsibility for any typographical or other error in the printing of advertising, marketing or promotional materials related to this Five Star Program, administration of Five Star Program, errors in processing entries, any problems or technical malfunction of any telephone network or lines, computer systems, online systems, servers or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or on any web site, or any combination thereof, including, without limitation, any injury or damage to Participant’s or any other person’s computer system/software related to or resulting from participation or downloading any materials in Five Star Program. Use of any device to automate or subvert submission is prohibited and any submissions received by such means will be void. No software-generated, robotic, programmed, script, macro or other automated online entries are permitted and any submissions received by such means will be void. ANY VIOLATION OF THESE TERMS AND CONDITIONS BY A PARTICIPANT WILL RESULT IN SUCH PARTICIPANT’S DISQUALIFICATION FROM THE FIVE STAR PROGRAM AND ALL PRIVILEGES AS A PARTICIPANT WILL BE IMMEDIATELY TERMINATED.

  8. FORCE MAJEURE:

    AT&T Entities are not responsible if the Five Star Program cannot take place due to delays, interruptions or failures due to acts of God, war, natural disasters, weather, acts or threats of terrorism, strikes, lockouts, labor disputes, work stoppages, fire, acts of government, or other events outside of the reasonable control of AT&T Entities. If, for any reason the Five Star Program is not capable of running as planned, including, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of AT&T Entities, which, in AT&T’s sole determination, corrupts or affects the administration, security, fairness, or proper conduct of this Five Star Program, AT&T reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend Five Star Program or any part of the Five Star Program, including any online processes and website related to the Five Star Program.

  9. MODIFICATIONS:

    AT&T reserves the right to modify and amend these Terms and Conditions from time to time during the Five Star Program in its sole discretion.

  10. DISPUTES:

    Each Participant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Five Star Program shall be resolved individually, without resort to any form of class action, and exclusively by the United Stated District Court for the Western District of California, Los Angeles County Division or the appropriate California State Court located in Los Angeles, California; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Five Star Program but in no event attorneys’ fees; and (iii) under no circumstances will Participant be permitted to obtain awards for and Participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or the rights and obligations of the Participants and AT&T in connection with the Five Star Program, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
