Official Rules

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR HAVE A CHANCE TO WIN  

CONTEST ENTRY PERIOD & SPONSOR: The “AT&T Small Business Contest” (the “Contest”) starts on/about 12:01 am Eastern Daylight Time (“EDT”) on 6/9/25 with the acceptance of Entries  (defined below) and entry in the Contest ends on/about 11:59 pm EDT on 9/30/25 (the “Contest  Period”) as detailed below. AN INTERNET CONNECTION IS REQUIRED TO PARTICIPATE IN  THE CONTEST.

The Contest is sponsored by AT&T Services, Inc., a Delaware Company (the “Sponsor”) and by  entering, Entrants (as defined below) agree to be bound by these “Official Rules”, which are  binding and final on all matters relating to the Contest and to all applicable federal, state and local  laws. The Contest consists of a skilled-based competition divided into two (2) distinct phases as  detailed herein. In the entry phase of the Contest (“Entry Phase”), Entrants meeting the age,

residency and business requirements set forth below who are interested in participating in the  Contest, must submit the Essays (as defined and detailed below). Each such eligible individual  named in the submission of the Essays in the Contest shall be herein referred to as a “Contest  Entrant” or “Entrant” and the submitted required information and Essays, the “Contest Entry”

or “Entry”. At the end of the Entry Phase, two (2) panels of judges (the “Judges”) will judge the  Contest Entries based on the Judging Criteria (as defined below) as detailed herein. All Entries  shall be judged by the first panel of Judges made up of marketing industry professionals. The five  (5) Entries scoring the five (5) highest total scores in the opinion of the first panel of Judges will  be declared to be the “Finalists” of the Contest and will then proceed to be judged by a second  panel of Judges made up of a group of up to five (5) industry executives. The one (1) Finalist  Entry scoring the highest score total score in the opinion of this second panel of Judges will be  declared the potential Grand Prize (defined below) winner of the Contest and the remaining four  (4) Finalists declared the potential Runner-Up Prize (defined below) winners of the Contest.  

ELIGIBILITY: Contest is open only to legal residents of the fifty (50) United States and the District  of Columbia (collectively the “Eligibility Area”), who as of the date of their entry into the Contest  are the age of majority or older and the sole or majority owner of a small business located within  the Eligibility Area and with a limit of fifty (50) or less full or part-time employees (“Eligible  Business”). Void in Puerto Rico, all other U.S. territories and possessions and overseas military  installations and where prohibited. Employees and their immediate family members (spouses,  parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren) of Sponsor,  Wasserman Media Group, LLC (“Wasserman” or “Administrator”), West Coast Marketing, a  division of The Susquehanna Hat Company and each of their respective officers, directors,  affiliates, subsidiaries, parent companies, and advertising and promotion agencies (collectively,  the “Contest Entities”) and those living in the household of same (whether legally related or not)  are not eligible to enter or win.  

HOW TO PARTICIPATE: Note: Contest may be entered by the owner of an Eligible Business or  nominated for entry by a consumer on behalf of an Eligible Business. During the Contest Period,  interested individuals should visit the website at att.com/shesconnected (the “Contest Site”) and follow all of the on-screen instructions to either enter your Eligible Business or nominate a  

business that you know of as detailed below including when asked, answer the question: Are you  submitting your own small business or nominating a small business?

To nominate a business: Provide the following information: your name, your email address, your  telephone number, the name and type of the business you are nominating, the name of the  business owner of the business you are nominating, the telephone number of the business you  are nominating, any social handles for the business you are nominating and the email address of  the business you are nominating. Optionally, you may also confirm that the business owner is of  majority age or older and provide the address where the business is registered.  

In addition, in 250 words or less, please give us some insight into why you are nominating this  business or businessperson. NOTE: This will not be utilized in any part of the judging process.  The owner of the business will be contacted via the email address you provide and will be  required to complete the entry process (detailed herein and in the notification email sent to the  business) in order for a valid Entry to take place. As detailed herein, prizing is only awarded to  business owners in the name of the business.

If you are entering for your own business: Develop your 1st unique essay in 750 words or less that  details the overall vision / mission of your business, the impact it makes on your community, how  receiving $50k would impact your business and how would you use these funds (“1st Essay”). In  

addition, in 750 words or less, develop a 2nd essay stating how your business embodies  Connecting Changes Everything (“2nd Essay”). The 1st Essay and 2nd Essay may be referred to  hereafter in combination as the “Essays”. Continue to follow the directions at the Contest Site, providing your name, email, birthdate, phone number, business name, type of business, business  address, business website, business social media handles, personal social media handles, proof  of small business registration, the number of full and part-time employees and the date the  business opened. Optionally, you may also include photographs of business/employees/events.

Complete the process of entering by attaching the Essays, attesting to being eligible and having  read and agreeing to the Official Rules and clicking on “Submit” to submit your Contest Entry into  the Contest (subject to the terms of these Official Rules).  

ONLY ONE (1) CONTEST ENTRY PER ELIGIBLE BUSINESS MAY BE SUBMITTED IN THE  CONTEST. Contest Entries in excess of this limit will result in only the first Contest Entry  submitted being judged and all remaining Contest Entries submitted being disqualified  and as such not judged.

I. ADDITIONAL CONTEST ENTRY REQUIREMENTS:

1. Contest Entrants agree to and understand that Contest Entries may be made available to  the public, including without limitation, posting on the Internet or in a display. Whether or  not Contest Entries are published on the Internet or otherwise made publicly available,  Sponsor does not covenant or guarantee any confidentiality with respect to any Contest  Entries.

2. Each Contest Entry must be an original creation of the submitting Contest Entrant, which is  under no restriction, contractual or otherwise, that will prevent Sponsor’s use of the Contest  Entry and each Contest Entry must be free of any and all liens, encumbrances and claims  of third parties. Contest Entrant acknowledges, agrees and warrants that nothing in the  Contest Entry infringes on any copyrights, confidential information, trade secrets or  trademarks belonging to any person or entity other than the Contest Entrant absent a  suitable license, clearance or permission agreement (proof of which is required upon  submission), or violates any person's rights of privacy or publicity and that all necessary  releases and permissions have been secured. Each Contest Entrant agrees to indemnify  and hold harmless each of the Contest Entities, and each of their owners, officers,  directors, employees, and affiliated organizations, and their respective officers, directors,  shareholders and employees, from and against any and all claims, demands, damages,  costs, liabilities and causes of action of whatsoever nature that are based upon or arise out  of any breach by Contest Entrant of these Rules or the warranties and representations

made by Contest Entrant in this paragraph. Modifying, enhancing or altering a third party’s  preexisting work does not qualify as Contest Entrant’s original creation.  

3. By submitting a Contest Entry, the Contest Entrant agrees, for zero compensation and  solely for promotional consideration, to grant to Sponsor all intellectual property rights in the  Contest Entry and each of its constituent parts, which rights include, without limitation, the  Sponsor’s right to publish, make available to the public and/or reproduce the Contest Entry  through any media available at any time during, or after, the Contest Period on any related  websites, in any promotional materials, whether related or unrelated to the Contest, and at  any other location, whether physical or online, that Sponsor, in its sole discretion, deems  appropriate and necessary for the operation and promotion of this Contest. In addition,  Contest Entrant warrants that any so called “moral rights” in the Contest Entry have been  waived and Contest Entrant acknowledges and agrees that Sponsor may use any ideas  from any Contest Entry or other submitted materials, whether or not Contest Entrant has  been awarded a prize in connection with any such Contest Entry or other materials.

Contest Entrant agrees to release, defend, indemnify and hold harmless each of Contest  Entities, and each of their owners, employees, directors, officers, shareholders, members,  agents, subcontractors and licensees from all claims, demands and causes of action of any  nature whatsoever which Contest Entrant or Contest Entrant’s heirs, representatives,  executors, administrators, or any other persons acting on Contest Entrant’s behalf or on  behalf of Contest Entrant’s estate, have or may have by reason of: (i) Sponsor’s exercise of  any rights granted by Contest Entrant in this paragraph; (ii) claims based on violation of any  right of publicity or rights of personality, infringement of copyright or trademark, libel,  slander, defamation, invasion of privacy, loss of earnings or potential earnings in  connection with Sponsor’s use of the Contest Entry and any portion thereof, or the likeness  of any natural person therein.

4. Contest Entrants are responsible for securing necessary permissions, releases, and  licenses for any material contained in the Contest Entries.

5. Sponsor is not responsible for any expenses incurred in the creation and uploading of the  Contest Entry by Contest Entrant.  

II. CONTEST ENTRY CONTENT RESTRICTIONS: Contest Entries must not contain material  that:

1. Describes someone smoking or intoxicated,

2. Violates or infringes another’s rights, including without limitation, privacy, publicity or  intellectual property rights, or that constitutes copyright infringement,

3. Promotes bigotry, racism, hatred or harm against any group or individual or promotes  discrimination based on race, sex, religion, nationality, disability, sexual orientation or age,

4. Includes or describes any unacceptable clothing or adornments, or displays any  commercial/corporate advertising other than that of Sponsor (including but not limited to  corporate logos, brand names, trademarks, slogans, political, personal and religious  statements),

5. Includes or describes indecent or unsafe behavior or situations, profanities or obscenities,  including but not limited to nudity, or pornography, or is otherwise inappropriate, indecent,  profane, obscene, hateful, tortuous, slanderous or libelous,

6. References persons or organizations without their written permission,

7. Disparages any persons or organizations,

8. Includes threats to any person, place, business or group,

9. Is unlawful, in violation of or contrary to any applicable federal, state, or local laws and  regulations.

Failure of any Contest Entry to comply with the above “Contest Entry Requirements” and “Contest  Entry Content Restrictions” as determined by Sponsor, in its sole discretion, may result in  disqualification of Contest Entrant. Without limitation, Sponsor reserves the right in its sole  discretion to disqualify any Contest Entry that, in its sole opinion, refers, depicts or in any way  reflects negatively upon the Sponsor, the Contest, or any other person or entity, does not comply  with these Official Rules or if Sponsor receives notification about any potential infringements or  breaches of law or any other reason set forth herein. All Contest Entries shall become the  exclusive property of Sponsor and will not be returned. Contest Entries must be suitable for  presentation in a public forum, in sole determination of Sponsor. Sponsor reserves the right to  remove content that does not meet the above criteria.  

ONLY AN ELIGIBLE CONTEST ENTRANT MAY PARTICIPATE IN THE CONTEST AND/OR  WIN A PRIZE. SPONSOR EXPRESSLY RESERVES FOR ITSELF, THE RIGHT TO  DETERMINE THE ISSUE OF ELIGIBILITY AND/OR THE RIGHT OF ANY CONTEST ENTRANT  TO REDEEM OR OTHERWISE BENEFIT FROM A PRIZE AT ANY TIME (INCLUDING,  WITHOUT LIMITATION, AFTER A CONTEST ENTRANT WAS EARLIER DEEMED ELIGIBLE).  NOTWITHSTANDING ANY OTHER PROVISION OF THESE RULES, IF AT ANY STAGE OF  THE CONTEST, SPONSOR DETERMINES THAT NOT ENOUGH, OR NO ELIGIBLE CONTEST  ENTRANTS EXIST FROM WHICH TO SELECT A WINNER AND/OR FOR THE AWARDING OF  ANY PRIZING, THEN SPONSOR MAY IN ITS SOLE AND EXCLUSIVE DISCRETION  DETERMINE THAT NOT ENOUGH, OR NO ELIGIBLE CONTEST ENTRANTS EXIST AND  THEN MAY EITHER SUSPEND THE CONTEST OR MODIFY IT (OR ANY PARTS THEREOF)  IN ANY EQUITABLE MANNER THAT SPONSOR DEEMS APPROPRIATE IN ITS SOLE AND  EXCLUSIVE DISCRETION, INCLUDING, WITHOUT LIMITATION, BY NOT AWARDING THE  PRIZING SET FORTH IN THESE RULES OR IMPLEMENTING A NEW STAGE OF THE  CONTEST WHERE SPONSOR MAY SEEK NEW CONTEST ENTRANTS AND FROM WHOSE  POOL SPONSOR MAY SELECT NEW POTENTIAL CONTEST WINNERS.

For purposes of this Contest, a Contest Entry is "received" online when the Sponsor’s server  records the Entry information. Proof of sending (such as an automated computer receipt  confirming Entry or "thanks for entering" message) does not constitute proof of actual receipt of  an Entry for purposes of this Contest. Illegible, incomplete and Entries in excess of the stated  limit and Entries submitted by Entrants who do not meet the eligibility requirements (including all  requirements with respect to age and residence) are void. Those who do not follow all of the  instructions, provide the required information in their Contest Entry, or abide by these Official  Rules or other instructions of Sponsor may be disqualified.  

The Sponsor’s database clock will be the official timekeeper for this Contest. All federal, state,  and local rules and regulations apply.  

PRIVACY INFORMATION: Participating in the Contest constitutes consent to transfer personal  information collected from the Entrant to the Sponsor for the purposes of administering the  Contest and for such other purposes to which an Entrant may consent as outlined in these Official  Rules. More specifically, Sponsor and/or its third-party administration companies may collect  information that an Entrant provides to participate in the Contest and will use personal information  an Entrant provides to enter the Contest to actually conduct the Contest.

All information collected by Sponsor in connection with participation in the Contest will be subject  to Sponsor's Privacy Policy statement as posted on Sponsor’s Privacy Policy:  https://about.att.com/csr/home/privacy.html.

Sponsor may provide the personal information an Entrant or other person provides to enter this  Contest to third party administration companies for the sole purpose to facilitate this Contest. You  understand that any personally identifiable information you provide shall be used only in a  manner consistent with these Official Rules.

CONTEST JUDGING, RESOLUTION OF TIES, WINNER NOTIFICATION & PRIZES: Each of  the submitted eligible Contest Entries will be judged according to the Judging Criteria (defined  below) by the first panel of selected Judges as detailed above, resulting in five (5) Finalists, and  all judging shall be completed on/about 11/30/25. At the end of this judging, the one (1) Finalist  Entry scoring the highest total score in the opinion of the second panel of Judges will be declared  the potential Grand Prize winner of the Contest. The four (4) remaining Finalists shall be declared  the potential Runner-Up Prize winners of the Contest. For the resolution of ties, see the  Resolution of Ties section below. If a potential Finalist or Grand Prize winner is deemed  ineligible or subject to disqualification for any other reason in accordance with these Rules, such  Contest Entrant will be disqualified and the eligible Contest Entry, if any, that garnered the next  highest score (in the opinion of the Judges) will be declared the new potential Finalist or Grand  Prize winner (as applicable). The new Contest Entrant selectee, if any, will need to meet all  eligibility requirements and otherwise be in compliance with these Rules in order for such Contest  Entrant to be declared a Finalist or the potential Grand Prize winner (as applicable). Should the  pool of Contest Entrants be deemed ineligible or otherwise not in compliance with these Rules,  Sponsor may at its own discretion decide there are no Finalists or no Grand Prize winner.  Sponsor’s decisions in all matters relating to this Contest will be final and binding.

Judging Criteria.

JUDGES’ SCORING WILL BE AVERAGED AMONG PARTICIPATING JUDGES. NO  ENTRANT RECEIVING A TOTAL AVERAGE SCORE OF LESS THAN 75 POINTS WILL BE  ELIGIBLE TO BE NAMED A FINALIST OR GRAND PRIZE WINNER. 

Resolution of Ties.

In the event of a tie in either round of judging, the tied Contest Entry that received the higher total  score from all Judges in the “Alignment with Connecting Changes Everything” category will be  declared the Finalist or potential Grand Prize winner (as applicable). In the event of a remaining  tie, the tied Contest Entry that received the higher total score from all Judges in the “Strength of  Story” category will be declared the Finalist or potential Grand Prize winner (as applicable). In the  event of a remaining tie, the tied Contest Entry that received the higher total score from all  Judges in the “Community Impact” category will be declared the Finalist or potential Grand Prize  winner (as applicable). If needed, the Judges will re-score the tied Contest Entries in all three (3)  categories until the relevant tie is broken.  

Grand Prize and Runner-Up Prize Winner Notification.  

The Contest Entrants declared to be the potential Grand Prize and Runner-Up Prize winners will  be notified by Sponsor via email and/or phone on/about 12/1/25.  

Note: Potential Grand Prize and Runner-Up Prize winners may be referred to hereafter  individually as a potential “Prize winner” and collectively, as potential “Prize winners”.

Potential Prize winners will be required to respond back to Sponsor within forty-eight (48) hours of  notification issuance, verifying eligibility in the Contest (per these Official Rules), and willingness  to accept the Grand Prize or Runner-Up Prize (as applicable) as detailed herein. Failure to  respond within this forty-eight (48) hour deadline or comply in any way with the stated  requirements may result in forfeiture of Grand Prize or Runner-Up Prize (as applicable) at the  sole discretion of Sponsor. Once the potential Prize winner responds to the initial notification, the  Contest Administrator or its designee will send to them via email, a congratulatory package that  includes an Affidavit of Eligibility/Release of Liability and (except where prohibited) Publicity  Release form (collectively, this form may be referred to as the “Affidavit/Release”). In order for  the potential Prize winner to be declared the official Grand Prize winner or Runner-Up Prize  winner (as applicable) and to be able to redeem their prize, the potential Prize winner will be  required to execute and notarize said Affidavit and return it to the Contest Administrator or their  designee within ten (10) calendar days of issuance. In addition, to be able to redeem a prize, the

potential Prize winner will need to complete and send back to the Contest Administrator (or  designee) his or her Taxpayer Identification Number on a completed IRS Form W-9.  

Failure of a potential Prize winner to return the Affidavit/Release and IRS Form W-9 correctly  completed and executed, within the required time period, may (at Sponsor’s sole discretion) result  in forfeiture of the prize. If, at the time of attempted notification, the potential Prize winner cannot  be reached within a reasonable period (as determined by Sponsor) and after a few reasonable  attempts, and/or if the potential Prize winner is found not to meet the eligibility requirements or is  otherwise found not to be in compliance with these Official Rules, or if any notification is returned  as undeliverable for any reason, the potential Prize winner may at Sponsor’s sole discretion be  disqualified and, time permitting, as determined by Sponsor in its sole and exclusive discretion,  the Entry that received the next highest score in the opinion of the Judges (as described above)  will be deemed the potential Grand Prize winner or potential Runner-Up Prize winner (as  applicable). If the new potential Grand Prize winner or potential Runner-Up Prize winner (as  applicable) is found not to meet all the eligibility requirements set forth in these Rules, Sponsor  may, in its sole and exclusive discretion, determine that there is no winner of the Grand Prize or  less than the four (4) stated Runner-Up Prizes (as applicable) or, time permitting, as determined  by Sponsor in its sole and exclusive discretion, continue this process and seek to determine a  new potential Grand Prize winner or potential Runner-Up Prize winner (as applicable) from the  remaining Entries. Any new potential Grand Prize winner or potential Runner-Up Prize winner (as  applicable), if any, will have to meet all eligibility requirements and otherwise be in compliance  with these Rules in order to be declared the official Grand Prize winner or Runner-Up Prize  winner (as applicable).  

PRIZES:

Grand Prize (one (1) available): The “Grand Prize” consists of (i) $50,000; (ii) the Grand Prize  winning business will be involved in a feature episode of AT&T content alongside  #ShesConnected talent with paid media support; (iii) one (1) only of the following: a cellular  phone <OR> tablet and one (1) year of AT&T Business Services with additional services provided  (if available in winner’s location); and (iv) mentorship from either an individual connected with a  previous AT&T’s “She’s Connected” program or an AT&T corporate employee based on the  needs of the business, as determined in sole discretion of Sponsor. After one (1) year of service,  the Grand Prize winner will have the opportunity to transfer the service to a personal account or  cancel the service.

Note: The Grand Prize winner must be available to participate on the date, time and location(s) necessary for the production of a “She’s Connected” episode as well as a branded event to honor  the launch of the Creative (collectively referred to as the “Production”) (if held) as determined by  Sponsor or Grand Prize may be forfeited and (time permitting as determined by Sponsor) an  alternate Grand Prize winner determined per the process detailed above. Travel costs for such  participation in the Production (if deemed necessary by Sponsor) shall be furnished by Sponsor.  Contest Entities are not responsible for the cancellation or rescheduling of any portion of Grand  Prize. In the event that the “She’s Connected” programming or Production (or part thereof) is  cancelled (as determined by Sponsor), the remainder of the Grand Prize as stated herein shall  constitute the complete and total prize to be awarded to Grand Prize winner. Contest Entities are  not responsible for changes in Production or episode airing schedule.

The approximate retail value (“ARV”) of the Grand Prize is $55,000.

Runner-Up Prizes (four (4) available): There are four (4) “Runner-Up Prizes” available to be  awarded. Each Runner-Up Prize shall consist of $5,000 awarded in the form of a check.

Grand Prize and Runner-Up Prizes may be referred to hereafter individually as a “Prize” and  collectively, as “Prizes”. The total ARV of all Prizes to be awarded in the Contest is $75,000.

Prize winners may be referred to hereafter individually as a “Prize Winner” and collectively, as  the “Prize Winners”. Prizes are not transferable, assignable, or redeemable for cash. Prize may  not be sold, bartered or exchanged by a Prize Winner except as may be allowed by Sponsor in its  sole discretion. Prizes are provided "as is" and without any warranty of any kind. No substitution  for a Prize (or parts thereof) by the applicable Prize Winner will be allowed. If necessary, due to  unavailability for any reason, a comparable Prize will be awarded at the sole discretion of the  Sponsor. Monetary and tangible portions of Prizes will be delivered by mail or other delivery  service (selected at the sole discretion of the Sponsor) within 7-9 weeks after the conclusion of  the Contest. If a Prize is returned as undeliverable or is unable to be awarded for any reason, the  applicable Prize may, at Sponsor’s sole discretion, be awarded to an alternate via the winner  determination process for the Contest as detailed herein.

All federal, state, and local tax liabilities are the responsibility of the Prize Winners. Acceptance  of a Prize constitutes permission (except where prohibited) for the Sponsor and its designee(s) to  use such Prize Winner’s name, Business name, Essays and Contest Entry, likeness, biography,  statements, voice, image and any other personal characteristics, in any and all media now or  hereafter known, for any purpose, including without limitation marketing, promotional and publicity  purposes without additional compensation to such Prize Winner and such individual hereby  releases Sponsor and its designee(s) from any liability with respect to such use.  

The awarding of each Prize is subject to the applicable Prize Winner’s acceptance of all requisite  conditions within these Official Rules and such Prize Winner’s ability and agreement to grant the  rights set forth in these Official Rules and required documentation. By accepting a Prize, each  Prize Winner acknowledges compliance with these Official Rules.

RELEASES: The Contest Entities, and any and all Internet server(s) and access provider(s), and  each and all of their respective parent corporations, successors, subsidiaries, affiliates, related  entities, licensees, assigns, and all of their respective officers, directors, shareholders,  employees, agents and representatives (collectively, “Releasees”) are not responsible for: any  incorrect or inaccurate Entry information; inability to connect with any website, including but not  limited to the Contest Site; human errors; technical malfunctions; failures, omissions,  interruptions, deletions or defects of any telephone network, computer online systems, computer  equipment, servers, providers, hardware or software, including without limitation any injury or  damage to Entrant’s or any other person’s computer relating to or resulting from participation in  the Contest; theft, tampering, destruction, or unauthorized access to, or alteration of, Entries; data  that is processed late or incorrectly or is incomplete or lost due to telephone, computer or  electronic malfunction or traffic congestion on telephone lines or the Internet or any web site or for  any other reason whatsoever; typographical, printing or other errors; any Contest related  materials which are late, lost, incomplete, misdirected, stolen, mutilated, illegible, or any  combination thereof. Entrants, by participating in the Contest, agree that the Releasees shall  have no liability whatsoever for, and shall be held harmless by Entrants against, any liability for  any injuries, losses or damages of any kind, including, but not limited to, death or injury to  persons, or property loss or damage, relating or resulting in whole or in part, directly or indirectly,  from acceptance, possession, misuse or use of any Prize or participation in this Contest. Proof of  attempting to submit a Contest Entry is not considered proof of delivery or receipt. Illegible or  incomplete Entries will be disqualified. All Contest Entries become the property of the Sponsor  and will not be acknowledged or returned. False, fraudulent or deceptive Contest Entries or acts  shall render its Entrant(s) ineligible. By participating in the Contest, Entrants affirm that they have  read and accepted these Official Rules.  

GRANT OF RIGHTS: By participating in the Contest, each Contest Entrant hereby grants and  agrees to grant to Sponsor and its affiliates, and to their respective successors, licensees,  assignees and other authorized designees, a perpetual, fully-paid, royalty-free, transferable, fully  sublicensable, worldwide, irrevocable, non-exclusive right and license to reproduce, transcode,  edit, modify, combine with others, create derivative works from, transmit, disseminate, distribute,

re-use, re-post, make available, combine with other content, exhibit, perform, publish, display,  use and otherwise exploit the Contest Entrant’s Entry information, and any comments or  statements of the Entrant related to the Contest or any of the Contest Entities, all of the foregoing  in any media, manner, technology or content delivery mechanism now known or hereinafter  devised for the following purposes: (A) in connection with the Contest, its administration,  promotion, advertising or publicity, and/or (B) otherwise in connection with the promotion,  advertising, publicity or other exploitation of the Contest, and/or any subsidiary and ancillary  rights of any nature relating to the Contest, and/or (C) as otherwise desired by Sponsor in its sole  discretion not in connection with the Contest , each of the foregoing without the necessity of  obtaining further consent or making any payments.  

GOVERNING LAW/LIMITATION OF LIABILITY: All issues and questions concerning the  construction, validity, interpretation and enforceability of these Official Rules or the rights and  obligations of Entrants and Releasees in connection with the Contest will be governed by and  construed in accordance with the internal laws of the State of Texas, without giving effect to any  choice of law or conflict of law rules or provisions that would cause the application of any other  state’s laws. By entering the Contest, Entrants hereby submit to the jurisdiction and venue of the  federal and state courts of Dallas County, Texas, United States and waive the right to have  disputes arising out of the subject matter hereof adjudicated in any other forum.  

BY ENTERING AND PARTICIPATING IN THE CONTEST, ENTRANT AGREES THAT TO THE  EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND  CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY  PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM  OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE  LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO  EXCEED FIFTY DOLLARS ($50.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE  AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE  PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND  EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL  OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN  ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED FIFTY DOLLARS ($50.00), AND/OR  ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4)  ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND  ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE  RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF  LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.  

FORCE MAJEURE: Releasees shall not be liable to a Prize Winner or any other person for  failure to supply the applicable Prize or any part thereof, by reason of any acts of God, any  action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity  (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid),  equipment failure, terrorist acts, earthquake, war, pandemic, fire, flood, explosion, unusually  severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or  material shortage, transportation interruption of any kind, work slow-down, civil disturbance,  insurrection, riot, network or computer problems, internet problems, hacking, computer viruses,  unauthorized computer access, tampering, or any other cause beyond Sponsor’s sole control.  

GENERAL: If for any reason this Contest is not capable of running as planned, or if this Contest  or any web site associated therewith (or any portion(s) thereof) becomes corrupted or does not  allow the proper playing of the Contest and processing of Entries in accordance with these  Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention,  actions by Entrants, fraud, technical failures, or any other causes, in the Sponsor’s sole opinion,  corrupts or affects the administration, security, fairness, integrity, or proper conduct of this  Contest, the Sponsor reserves the right, at its sole discretion, to disqualify any individual  implicated in such action and/or to cancel, terminate, modify, or suspend this Contest or any

portion thereof. In the event this Contest is canceled, the Sponsor may (at Sponsor’s sole  discretion) complete the Contest utilizing all eligible, non-suspect Contest Entries received prior to  the time of the action or event warranting such cancellation. If such cancellation, termination,  modification, or suspension occurs, notification will be posted at Contest Site. The Releasees are  not responsible for the actions of Entrants in connection with the Contest, including Entrants’  attempts to circumvent the Official Rules or otherwise interfere with the administration, security,  fairness, integrity or proper conduct of the Contest. Persons found tampering with or abusing any  aspect of this Contest, or who Sponsor believes to be causing malfunction, error, disruption or  damage may be disqualified. Additionally, any attempt to cheat the Contest, as determined at the  sole and absolute discretion of Sponsor, may result in immediate disqualification of the Entrant,  as well as other possible consequences, including disqualification from any and all existing and  future promotion, contest or sweepstakes. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER  INDIVIDUAL TO DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION  OF THE CONTEST IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD  SUCH AN ATTEMPT BE MADE THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES  AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT  PERMITTED BY LAW.

If a dispute arises about who submitted an Entry or was declared to be a Prize Winner, the Entry  will be deemed submitted by the registered owner of the Eligible Business named on the  applicable winning Entry. A potential winner may be requested to provide Sponsor with proof that  he or she is the registered owner of the Eligible Business associated with the winning Entry and  that all eligibility requirements are met. In the event a dispute regarding the identity of the  individual who actually submitted an Entry cannot be resolved to Sponsor’s satisfaction, the  affected Entry will be deemed ineligible. The Releasees are not responsible for electronic  communications that are undeliverable as a result of any form of active or passive filtering of any  kind, or insufficient space in Entrant's email account to receive email messages. Also, the  Releasees are not responsible, and may disqualify an Entrant, if his or her email address or  telephone number does not work, if it is changed without Entrant giving prior written notice to  Sponsor, or if email communications sent are directed to Entrant’s spam or junk folder.  

NOTE: Entries must be made by the Contest Entrant only as detailed above. Contest Entries  made by any other individual or any entity, and/or originating at any other web site or email  address, including, but not limited to, commercial contest subscription, notification and/or  submitting service sites, will be declared invalid and disqualified for this Contest. Contest Entries  generated by a script, computer programs, macro, programmed, robotic or other automated  means are void and may be disqualified. The use of any device or software to automate the  Contest Entry process is prohibited. Contest Entries or other Contest materials that are  incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late, misdirected,  deceptive, in greater quantity than the limit stated above or otherwise not in compliance with the  Official Rules may be disqualified from the Contest at Sponsor’s sole and absolute discretion.

DISCLAIMERS AND LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES.

BY PARTICIPATING IN THE CONTEST, EACH ENTRANT AGREES: (I) TO BE BOUND BY  THESE OFFICIAL RULES AND ALL APPLICABLE LAWS; (II) TO WAIVE ANY RIGHTS TO CLAIM  AMBIGUITY WITH RESPECT TO THESE OFFICIAL RULES AND ANY PROMOTIONAL  MATERIALS RELATED TO THE CONTEST; (III) TO WAIVE ALL OF HIS OR HER RIGHTS TO  BRING ANY CLAIM, ACTION, OR PROCEEDING AGAINST ANY OF THE CONTEST  ENTITIES; AND (IV) TO RELEASE EACH OF THE CONTEST ENTITIES AND EACH OF THEIR  RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES OR  OTHER AUTHORIZED DESIGNEES FROM ANY LIABILITY (INCLUDING, BUT NOT LIMITED  TO, LIABILITY FOR ANY PROPERTY LOSS, DAMAGE, PERSONAL INJURY, BODILY INJURY,  DEATH, LOSS, EXPENSE, ACCIDENT, DELAY, INCONVENIENCE OR IRREGULARITY) THAT  MAY ARISE IN CONNECTION WITH, AS APPLICABLE: (A) ENTRANT’S PARTICIPATION OR  INABILITY TO PARTICIPATE IN THE CONTEST; (B) AMBIGUOUS JUDGING CRITERIA; (C)

TYPOGRAPHICAL ERRORS IN THE OFFICIAL RULES OR ANY OFFLINE, ONLINE, OR  WIRELESS CONTEST-RELATED PROMOTIONAL MATERIAL; (D) ACCEPTANCE OR  POSSESSION, DEFECTS IN, USE, MISUSE OR INABILITY TO USE ANY PRIZE (OR ANY  COMPONENT THEREOF); (E) ANY CHANGE IN PRIZING AS PERMITTED HEREUNDER OR  OTHERWISE DUE TO REASONS BEYOND ANY OF THE CONTEST ENTITIES’ CONTROL; (F)  HUMAN ERROR; (G) INCORRECT OR INACCURATE TRANSCRIPTION, RECEIPT,  TRANSMISSION, CODING, TRANSCODING, OR COMPUTING OF ANY MATERIALS; (H) ANY  TECHNICAL MALFUNCTIONS OR UNAVAILABILITY OF ANY WEB SITE, MOBILE APPLICATION  OR NETWORK, TELEPHONE NETWORK, COMPUTER ONLINE SYSTEM, COMPUTER DATING  MECHANISM, COMPUTER EQUIPMENT, SOFTWARE, INTERNET OR WIRELESS SERVICE  PROVIDER, U.S. MAIL SERVICE, PRIVATE MAIL SERVICE OR COURIER UTILIZED BY ANY OF  THE CONTEST ENTITIES OR BY AN ENTRANT; (I) INTERRUPTION OR INABILITY TO ACCESS  CONTEST SITE, OR ANY OTHER PARTICIPATING WEB SITES, ANY CONTEST-RELATED WEB  PAGES, OR ANY ONLINE SERVICE VIA THE INTERNET, OR WIRELESS SERVICE DUE TO  HARDWARE OR SOFTWARE COMPATIBILITY OR OTHER PROBLEMS; (J) ANY  LOST/DELAYED DATA TRANSMISSIONS, OMISSIONS, INTERRUPTIONS, DEFECTS, AND/OR  ANY OTHER ERRORS OR MALFUNCTIONS; (K) ANY WRONGFUL, NEGLIGENT, OR  UNAUTHORIZED ACT OR OMISSION ON THE PART OF ANY OTHER ENTRANT OR  INDIVIDUAL PURPORTING TO ACT ON BEHALF OF ANY SUCH ENTRANT, AND/OR ANY OF  THE CONTEST ENTITIES AND/OR ANY OF THEIR AGENTS, EMPLOYEES OR AUTHORIZED  DESIGNEES; (L) ANY WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACT OR OMISSION  ON THE PART OF ANY OTHER PERSON OR ENTITY NOT AN EMPLOYEE OF ANY OF THE  CONTEST ENTITIES; OR (M) ANY OTHER CAUSE, CONDITION OR EVENT WHATSOEVER  BEYOND THE CONTROL OF ANY ONE OR MORE OF THE CONTEST ENTITIES. PRIZE  WINNER HEREBY ACKNOWLEDGES THAT THE CONTEST ENTITIES HAVE NEITHER MADE  NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY,  REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE  TO ANY PRIZE OR COMPONENT THEREOF.  

INDEMNIFICATION.  

Each Contest Entrant shall indemnify, defend and hold harmless each of the Releasees from and  against any and all third party claims, demands, causes of action, proceedings, expenses, and/or  liabilities resulting or arising from or in connection with : (i) Sponsor’s and/or any of its affiliates’ or  their respective licensees’ and/or authorized designees’ exercise of any of their rights granted  hereunder; (ii) the Contest Entrant’s participation in the Contest; (iii) the Contest Entrant’s failure to  comply with any one or more of the Official Rules or any Applicable Laws; and/or (iv) Contest  Entrant’s submission of his or her Contest Entry without the Contest Entrant’s having obtained, from  the person(s) who may have participated or assisted in the development of the Contest Entry,  permission to use such Contest Entry in connection with the Contest as set forth herein and to grant  Sponsor, its affiliates and their licensees and authorized designees the right to use such Contest  Entry as set forth in the Grant of Rights section of the Official Rules.  

MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will  not affect the validity or enforceability of any other provision. In the event that any provision of  the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other  provisions will remain in effect and will be construed in accordance with their terms as if the  invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of  these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any  rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference  and will not be deemed to affect in any manner the meaning or intent of the documents or any  provision hereof. In the event there is a discrepancy or inconsistency between disclosures or  other statements contained in any Contest-related materials, privacy policy or terms of use on the  Contest Site and/or the terms and conditions of the Official Rules, the Official Rules shall prevail,

govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute  discretion.  

NO INJUNCTIVE RELIEF: EACH ENTRANT UNDERSTANDS AND AGREES THAT HE OR  SHE SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT,  PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE  CONTEST, THE PRODUCTION, OR ANY OTHER PROJECT OF SPONSOR OR ANY OF ITS  AFFILIATES.
